TRC is not helping much. anything specific in logs?
there are 2 possible scenearios.

1. When MS Windows NT/2000 all services that are set
to 'automatic' are started, however the sequence in
which they are started cannotbe set. The
Intelligent Agent service can be started before a
database service is started. This will generate
ORA-12560 errors in the NMI.log file.
2. Database(s) specified in listener.ora are not
started The Intelligent Agent uses the listener.ora
when it does a discovery, all databases found in
the listener.ora are found and saved in the
services.ora. When the Intelligent Agent is running
it tries to connect to the databases listed in
services.ora. When such a database is not started,
the ORA-12560 is reported in the NMI.log file.

for 12640 error changing SQLNET.AUTHENTICATION_SERVICES=(NTS) to SQLNET.AUTHENTICATION_SERVICES=(NONE)
should help. In your case its not. thats wierd.

Are u using OMS etc?
